1. Introduction
Welcome to the Academic English Hub Partner Program ("Program").
These Partner Terms & Conditions ("Agreement") govern the relationship between Academic English Hub ("Academic English Hub," "we," "us," or "our") and any individual or organization participating in the Program ("Partner," "you," or "your").
Academic English Hub is an independent online educational platform providing English-language learning materials, TOEFL preparation exercises, and related educational services.
The Program allows approved Partners to promote Academic English Hub through their own channels in exchange for promotional benefits and, where applicable, commissions on qualifying purchases.
By accepting an invitation, agreeing to these Terms, or participating in the Program following acceptance, you agree to comply with this Agreement.
Participation is voluntary and subject to approval by Academic English Hub.
2. Eligibility and Enrollment
2.1. Eligibility
To participate in the Program, you must:
- Be at least 18 years old or otherwise legally capable of entering into a binding agreement.
- Provide accurate and current registration information.
- Maintain a valid Academic English Hub account.
- Comply with applicable laws and these Terms.
- Receive approval from Academic English Hub.
2.2. Invitation-Based Enrollment
The Program is invitation-based.
Academic English Hub may approve Partners by registering their email addresses within its administrative system.
If you already have an account associated with the approved email address, your Partner status may be activated automatically only after required email verification and acceptance of these Terms and your individual Partner Offer. Approval alone does not activate Partner benefits.
If you do not have an account, your Partner status will activate after you register or sign in using the approved email address, complete required email verification, and accept these Terms and your individual Partner Offer.
2.3. Approval and Account Responsibility
Academic English Hub reserves the right to approve or decline prospective Partners.
You are responsible for maintaining the confidentiality of your account credentials and for activities undertaken through your account.
Partner privileges are personal to the approved account and may not be transferred or shared without written authorization.
3. Nature of the Partnership
3.1. Independent Relationship
The Program establishes a non-exclusive, independent commercial relationship.
Participation does not establish an employment relationship, agency, franchise, joint venture, or legal partnership.
Partners have no authority to enter into agreements, make contractual commitments, or assume liabilities on behalf of Academic English Hub.
3.2. Non-Exclusivity
Unless separately agreed in writing, Partners may promote other educational platforms and services, including competing products.
Similarly, Academic English Hub may collaborate with multiple Partners operating in the same market or geographical region.
3.3. No Mandatory Promotion
Unless explicitly agreed in a separate written arrangement, Partners are not required to publish a minimum number of posts, videos, advertisements, or promotional materials.
There are no minimum sales requirements for remaining enrolled in the standard Program, subject to the termination provisions below.
4. Partner Benefits
4.1. Partner Premium
Approved Partners receive complimentary access to the Academic English Hub Partner Premium tier while their membership remains active.
Partner Premium provides access to the Premium educational content available under the Program.
AI-assisted services, including automated evaluations and feedback, remain subject to applicable fair-use policies, technical restrictions, and usage limits communicated through the platform.
Partner Premium:
- Does not require payment.
- Remains available while Partner status is active.
- Cannot be transferred, sold, or shared.
- Is not redeemable for money or credit.
- May be withdrawn when the partnership ends.
4.2. Discount Codes
Academic English Hub may assign one or more promotional discount codes to a Partner.
Each assigned code may provide customers with a discount on eligible Academic English Hub purchases.
The discount percentage, validity period, eligible products, usage limits, and other conditions are determined by Academic English Hub.
Partners cannot independently create, edit, transfer, deactivate, or delete promotional codes.
4.3. Partner Dashboard
AEH may provide an authenticated Partner Dashboard displaying assigned discount codes, referral links, their availability and status, aggregate visit and registration statistics, attributed paid purchases, and available commission or settlement information.
Referral-link traffic and estimated unique visitor counts are indicative analytical measures, not independently verified counts of individual people. Measurement can be incomplete or affected by consent preferences, browsers, repeated interactions, automated traffic, and filtering.
Dashboard figures do not themselves create or modify a right to commission. Commission eligibility is determined by AEH's verified transaction records, this Agreement, and the Partner's accepted Individual Partner Offer.
Dashboard information may be updated, corrected or reconciled after initial display. Partners have access only to their own authorized aggregate information and cannot access personal customer details.
4.4. Unique Referral Links
AEH may assign one or more unique referral links to an approved Partner for promotional channels or campaigns. Each link remains controlled by AEH and may be activated, paused, replaced or deactivated in accordance with the Program and applicable agreement.
Partners may share approved links through lawful promotional channels but must not manipulate links, attribution identifiers, visitor activity or reporting systems; create deceptive redirects; or encourage artificial visits or purchases.
A referral link does not inherently provide a price discount. Any discount must be separately authorized by AEH and applied under the relevant promotional conditions.
Mere access to, or sharing of, a referral link does not guarantee that any subsequent registration or purchase will be commissionable. Link-based commissions apply only where that attribution method is expressly enabled for the Partner and the purchase satisfies the applicable rules.
5. Commission Structure
5.1. Commission Rate
Unless a different rate is specified in an individually accepted Partner Offer, the standard commission rate is 25% of Net Eligible Revenue from qualifying purchases attributed to the Partner.
A different commission rate may be agreed upon in writing and recorded in the Partner's commercial terms.
5.2. Qualifying Purchases
A purchase may qualify for commission only where: (a) the customer completes a purchase of an eligible AEH paid product or service; (b) the transaction is validly attributed to the Partner by an authorized discount code or, where enabled, an eligible referral link; (c) AEH has independently verified successful payment; (d) the transaction falls within any applicable offer, product, attribution, timing or usage restrictions; and (e) the transaction is not disqualified by fraud, cancellation, reversal, a qualifying refund or chargeback, self-referral or breach of the Program.
A link visit, advertisement view, free account registration, free practice activity, checkout attempt or unverified payment does not alone generate commission.
Each qualifying purchase can be commission-attributed to at most one Partner under the standard Program rules. Referral of a customer does not automatically grant lifetime commissions on that customer's subsequent transactions.
All commission amounts and eligibility rules are subject to the applicable, individually accepted Partner Offer. Where a transaction is partially refunded, the commission may be proportionally adjusted as described in Section 6, to the extent technically supported and legally appropriate.
5.3. Commission Calculation Basis
Unless the accepted Individual Partner Offer expressly states another basis, the commission is calculated as a stated percentage of Net Eligible Revenue, meaning eligible consideration actually collected for the relevant purchase after customer discounts and excluding applicable indirect taxes, refunded amounts and chargebacks.
An alternative basis, including an undiscounted or pre-discount product price, is effective only when explicitly recorded in the Partner's accepted Individual Partner Offer and implemented consistently in the commission ledger. Such an alternative does not change the customer's checkout amount.
The commission rate, calculation basis, currency, relevant product value and version of applicable commercial terms must be snapshotted when financial attribution is determined, so later changes to an offer do not recalculate earlier earned commissions.
Unless expressly agreed otherwise, ordinary payment-processing fees are not deducted when calculating the Partner's percentage commission.
5.4. Commission Calculation Example
Suppose:
- Original product price, excluding applicable taxes: $100
- Customer discount: 10%
- Amount paid, excluding applicable taxes: $90
- Partner commission rate: 25%
The commission would be:
$90 × 25% = $22.50
The customer discount and Partner commission are separate benefits.
5.5. Non-Qualifying Activities
No commission is payable for:
- Website visits alone.
- Free account registrations.
- Free practice activities.
- Uncompleted checkout attempts.
- Failed or canceled payments.
- Purchases not validly attributed to the Partner.
- Fraudulent, manipulated, or prohibited transactions.
- Self-referrals or purchases made primarily to generate artificial commissions.
- Artificial or bot-generated visits, click inflation, cookie stuffing, unauthorized tracking or fabricated users.
- Purchases outside the applicable attribution window or attributed to another Partner under the precedence rules.
- Transactions disqualified after payment verification.
5.6. Referral Attribution
AEH may use assigned discount codes and eligible, consent-compliant referral links to determine whether a completed purchase qualifies for Partner commission.
Discount-code precedence: Where a valid Partner discount code is applied and recorded for a qualifying purchase, the Partner associated with that code at checkout ordinarily receives commission attribution, even where the customer previously visited another Partner's referral link.
Link attribution: Where no qualifying Partner discount code takes precedence, a referral link may establish attribution if link-based commissions have been enabled for the Partner and the applicable technical, consent, timing and eligibility criteria are satisfied.
For the standard link-attribution arrangement, once expressly activated for the Partner, the eligible click window is 30 days and attribution is to the last qualifying Partner link before new-account registration. Unless individually agreed otherwise, a link-originated registration may qualify only the first eligible paid purchase completed within 60 days after registration. These defaults apply only after technical activation and acceptance of a consistent Individual Partner Offer; they do not apply retroactively to V1 code-only transactions.
A previously registered account is not automatically treated as newly acquired merely because its holder later opens a Partner link. AEH may exclude self-referrals, suspicious referrals and deliberate tracking manipulation.
A Partner may receive commission on a transaction only when the qualifying attribution is confirmed in AEH's authoritative server-side financial records. Analytics page views, browser-based conversion events or displayed click totals are not conclusive financial records.
Where law, browser restrictions or a visitor's privacy choices prevent reliable link attribution, AEH cannot guarantee that an otherwise unrecorded link visit will be associated with a later purchase.
6. Commission Validation and Adjustments
6.1. Validation Period
All qualifying commissions initially remain Pending validation.
No commission is eligible for payout before thirty (30) complete days have elapsed from the time AEH successfully verifies the underlying purchase payment.
Where the accepted Individual Partner Offer specifies a validation period longer than 30 days, the longer period applies. An accepted historical offer is not shortened merely by publication of these revised Terms.
Completion of the validation period means only that an otherwise qualifying commission may be included in an upcoming monthly settlement cycle. It does not require an immediate or individual payment on the thirtieth day.
Payment eligibility remains subject to refunds, chargebacks, payment reversals, reasonably supported fraud or compliance investigations, any applicable minimum payout threshold, and required payout documentation.
AEH may place a genuinely disputed commission on a documented temporary hold, but undisputed eligible commissions must not be withheld solely because another transaction is under review.
6.2. Refunds, Chargebacks and Recovery of Overpayments
A commission may be cancelled, reduced or adjusted if the underlying transaction is subsequently refunded, cancelled, reversed, charged back or established to be fraudulent, including where the relevant event occurs after the commission was marked eligible or paid.
For a partial refund, AEH may make a proportionate adjustment reflecting the refundable portion of the eligible consideration and the commission basis agreed in the Partner Offer. For a fully refunded or reversed transaction, the associated commission may be cancelled in full. Financial adjustments must be supported by verifiable transaction records.
Where AEH has already paid an amount later determined to be an overpayment, AEH may record a transparent negative adjustment and offset it against later eligible commissions, subject to applicable law. Where future earnings are insufficient, AEH may request reasonable repayment of the substantiated overpayment, subject to applicable law and the terms of the relevant commercial arrangement.
Previously issued payment records must remain auditable and must not be erased or silently rewritten. AEH will provide the Partner an appropriate explanation or settlement statement for material adjustments.
The expiry of a validation period or completion of a monthly payout does not extinguish the possibility of a later cardholder dispute or other transaction reversal. AEH will not assume that every payment becomes irreversible after 30 days.
6.3. Fraud and Holds
AEH may temporarily suspend payment of particular commissions where objectively supportable indicators of transaction fraud, artificial referral traffic, self-referral, abuse or another contractual violation require reasonable investigation. The reason and outcome should be recorded for audit. Legitimate commissions unrelated to the disputed activity remain payable under the normal schedule.
Automated risk indicators only prompt human review and do not impose penalties. Any payment hold, commission rejection or partnership termination for suspected fraud requires an authorized administrator's documented decision. If fraudulent activity is established through human review, commissions arising from that activity are invalidated and the partnership is terminated immediately under Section 14.3. Valid commissions from unrelated, legitimate transactions remain payable.
7. Payments
7.1. Monthly Consolidated Payments
AEH settles Partner commissions on a monthly basis. Subject to the conditions of this Agreement, all validated, eligible and unpaid commissions for a Partner are consolidated into one ordinary monthly payout, not transferred separately for each purchase.
A commission becomes eligible no sooner than 30 complete days after verified payment, or after any longer validation period in the Partner's accepted Individual Partner Offer.
Commissions that become eligible during a given calendar month will ordinarily be included in the following calendar month's consolidated payout. AEH will ordinarily initiate the payment within 30 calendar days following the end of the month in which those commissions became eligible, subject to the minimum payout threshold, banking/payment-provider availability, necessary documents, legal requirements and unresolved transaction-specific holds.
Commissions that are still pending validation or otherwise ineligible at the monthly cutoff automatically carry forward to an appropriate later cycle. The Partner cannot require a separate early payout merely because one transaction's validation period has elapsed.
Only one ordinary consolidated payout per Partner per calendar month will be scheduled. A failed transfer may be retried as a continuation or correction of the same payout obligation, not as a duplicate commission payment. Extraordinary corrective transfers may be documented separately where legally required.
Calendar months for ordinary settlements are determined in the Europe/Istanbul timezone. Verification and eligibility timestamps are stored in UTC.
7.2. Minimum Payment Threshold
The minimum amount for an ordinary monthly payout is the minimum threshold specified in the Partner's accepted Individual Partner Offer. Eligible unpaid balances below that threshold carry forward without restarting a completed validation period. A closing/termination settlement remains subject to Section 14 and applicable law.
7.3. Payment Methods
Payments may be made through bank transfer or another payment method mutually agreed upon by the parties, subject to availability and applicable financial regulations.
International Partners may be required to provide:
- Legal name.
- Country of residence or business registration.
- Appropriate bank or payment-account information.
- Applicable tax information.
- An invoice or other legally acceptable supporting payment documentation, where required.
7.4. Currency and Fees
The payment currency will be specified in the individual Partner Offer or agreed upon before the first payout.
Where currency conversion is necessary, Academic English Hub will communicate the conversion basis used for the applicable payment.
Unless agreed otherwise, Academic English Hub bears the ordinary charges imposed by its sending bank, and the Partner bears receiving-bank or intermediary charges.
7.5. Taxes
Partners are responsible for complying with tax reporting, invoicing, and other obligations applicable to their earnings in their respective jurisdictions.
Academic English Hub may withhold or report taxes where legally required.
Any legally required withholding will be reflected in the corresponding payment statement.
7.6. Commission Statements and Payment Adjustments
AEH may provide each Partner with a monthly settlement statement through the Partner Dashboard or another authorized communication channel. The statement may show the amount pending validation, eligible unpaid amounts, amounts included in the current batch, previously paid amounts, carry-forward balances, currency conversions, and documented adjustments.
The Partner's agreed currency and payment method are specified in the accepted Individual Partner Offer. Statements and payments may exclude customer-identifying information to protect customer privacy.
A transfer marked "Completed" must correspond to verified settlement evidence. A pending or merely approved transfer must not be represented as paid.
8. Reporting and Transparency
Academic English Hub will provide access to available promotional performance statistics through the Partner Dashboard.
Commission statements will be provided separately through an agreed communication channel or through the dashboard if payment reporting is introduced.
Partners may request clarification regarding their recorded commission calculations.
Any suspected reporting discrepancy should be raised within 30 days of receiving the relevant statement.
Academic English Hub will review reported discrepancies in good faith and correct verified errors.
Customer privacy and data-protection obligations take precedence over requests for individual transaction details.
AEH may display aggregate visit, unique-browser, registration, attributed-order, conversion and commission statistics. Visitor analytics are estimates; a unique browser identifier is not proof of a unique human. Financial attribution and payout figures are determined by verified server-side records and may differ from raw promotional traffic counts.
AEH will review good-faith requests concerning reported discrepancies and will correct substantiated errors without disclosing private customer information.
9. Promotional Conduct
Partners are encouraged to promote Academic English Hub in an accurate, transparent, and professional manner.
Permitted promotional activities may include:
- Educational YouTube videos.
- Social media posts and short-form videos.
- Personal websites and blogs.
- Newsletters sent to consenting subscribers.
- Educational tutorials and product demonstrations.
- Recommendations to students or other interested audiences.
Partners retain editorial independence, subject to the requirements of this Agreement.
9.1. Truthful Representation
Partners must accurately describe Academic English Hub and its services.
Partners may not make false, misleading, or unsubstantiated statements regarding product features, customer outcomes, subscription terms, pricing, or examination results.
Partners must not guarantee that use of Academic English Hub will result in a specific TOEFL score, examination result, university admission, or other educational outcome.
9.2. Advertising Disclosure
Partners must clearly identify paid or commission-based promotional relationships where required by law and the advertising platform, whether promotion uses a referral link, discount code, free Premium access or another benefit.
"Advertisement / Paid partnership with Academic English Hub. I may receive a commission from qualifying purchases made through my referral link or discount code."
"Reklam / İş Birliği: Academic English Hub ile iş birliğim kapsamında yönlendirme bağlantım veya indirim kodum üzerinden yapılan uygun satın alımlardan komisyon kazanabilirim."
Disclosures must be prominent, accurate, understandable to the intended audience and compliant with applicable local rules. Examples are illustrative and are not a substitute for mandatory jurisdiction-specific wording.
9.3. Prohibited Marketing Activities
Partners must not:
- Use spam, unsolicited mass messaging, or unlawful marketing practices.
- Purchase fake engagement, followers, or fabricated testimonials.
- Publish knowingly misleading discounts or pricing information.
- Impersonate Academic English Hub personnel.
- Misrepresent themselves as official employees or representatives.
- Create fake customer accounts or transactions.
- Manipulate checkout, discount-code, or referral tracking systems.
- Publish the platform's protected educational content without permission.
- Use Academic English Hub trademarks in paid search advertising or deceptive domains without prior written approval.
- Distribute discount codes through unauthorized coupon networks or other prohibited promotion mechanisms.
- Engage in harassment, discriminatory promotion, or otherwise unlawful advertising.
Academic English Hub may require the removal or correction of promotions that violate these Terms.
10. Intellectual Property and Brand Usage
Academic English Hub retains ownership of its platform, original educational materials, brand assets, trademarks, software, and other intellectual property.
Partners receive a limited, non-exclusive, revocable, non-transferable permission to use approved Academic English Hub names, logos, and promotional materials solely for purposes of the Program.
Partners must not:
- Claim ownership of Academic English Hub materials.
- Redistribute paid educational content.
- Sell or sublicense access to the platform.
- Modify official brand assets in a misleading manner.
- Present promotional content as an official statement from Academic English Hub without authorization.
Third-Party Trademarks
Academic English Hub is an independent educational platform.
Partners must not state or imply that Academic English Hub is officially affiliated with, sponsored by, endorsed by, or approved by ETS or any other examination organization unless such a relationship has been expressly established.
References to TOEFL and other third-party trademarks must comply with applicable trademark laws and relevant brand-usage requirements.
11. Privacy and Data Protection
Academic English Hub respects the privacy of its users and Partners.
Partners may access aggregated promotional performance information but are not entitled to personal customer information.
Partners must not attempt to identify individual customers through dashboard statistics or other means.
The Partner Dashboard does not grant access to:
- Customer names.
- Customer email addresses.
- Individual payment information.
- Account identifiers.
- Customer learning records.
- Private customer communications.
Partners are independently responsible for ensuring that their own promotional activities comply with applicable privacy and data-protection laws, including requirements relating to audience data, communications, and consent.
Academic English Hub will process Partner information in accordance with its applicable Privacy Policy and legal obligations.
AEH may use pseudonymous referral identifiers, consent-compliant browser-level analytics and account-level attribution records to administer the Program, subject to applicable privacy notices, lawful bases, consent choices, retention limits and individual rights.
Partners receive only the aggregate information AEH makes available to their accounts and must not attempt to identify particular customers from analytical reports. Partner access does not include personal customer names, emails, payment details, account identifiers or educational records.
Referral traffic or link attribution may be incomplete when a visitor declines persistent analytics tracking or uses browser privacy protections. AEH does not guarantee perfect attribution in such cases.
12. Confidentiality
Any nonpublic information shared by Academic English Hub with a Partner and identified as confidential, or reasonably understood to be confidential, must be protected against unauthorized disclosure.
This may include:
- Internal marketing strategies.
- Unreleased product information.
- Confidential commercial arrangements.
- Nonpublic technical information.
- Private partnership communications.
This obligation does not apply to information that is publicly available through no breach of this Agreement, independently obtained lawfully, or required to be disclosed by law.
Confidentiality obligations do not prevent Partners from making legally required disclosures about their commercial relationship or discussing their own legitimately earned compensation.
13. Additional Commercial Arrangements
Academic English Hub and a Partner may separately agree to additional cooperation activities, including:
- Cross-promotion of educational services.
- Teacher or content-creator recommendations.
- Featured promotional campaigns.
- Special discount arrangements.
- Additional commission incentives.
- Sponsored content or dedicated promotional deliverables.
Such commitments must be recorded in writing.
In the absence of a specific written commitment, neither party is obliged to provide cross-promotional exposure, guaranteed customers, minimum revenue, or a particular number of promotional activities.
If an individually agreed Partner Offer conflicts with this Agreement concerning a specific commercial term, the individually agreed term will govern that matter. An individual offer does not override the minimum 30-complete-day validation period or monthly ordinary payout rule without a separately reviewed and expressly agreed policy change.
14. Term and Termination
14.1. Duration
This Agreement becomes effective when the Partner accepts these Terms and their participation is approved.
It continues until terminated by either party.
14.2. Voluntary Termination
Either party may terminate the partnership by providing at least seven days' written notice.
14.3. Immediate Suspension or Termination
Academic English Hub may immediately suspend or terminate Partner privileges when reasonably necessary because of:
- Fraud or intentional transaction manipulation.
- Material breach of these Terms.
- Misuse of the platform or confidential information.
- Unlawful or materially misleading promotion.
- Serious infringement of intellectual property rights.
- Significant security or reputational risks.
Fraudulent behavior established through human review and an authorized administrator's documented decision will result in immediate termination of the partnership, without a notice or cure period and regardless of whether a payout has been requested, initiated, created or completed. Termination does not require any payout process to have begun. Commissions arising from the fraudulent activity are invalid; unrelated commissions validly earned before termination remain subject to Section 14.5.
For other correctable violations, where appropriate, Academic English Hub may first request that the violation be remedied.
14.4. Consequences of Termination
Upon termination:
- Partner Dashboard access will be revoked.
- Complimentary Partner Premium access will end.
- All Partner-specific promotional discount codes shall expire on the partnership termination date unless otherwise agreed in writing.
- Assigned referral links may be disabled or replaced.
- Permission to use Academic English Hub branding for future Partner promotions will cease.
- The Partner must stop representing themselves as an active Academic English Hub Partner.
An independently purchased paid package will not be canceled solely because the partnership ends.
14.5. Outstanding Commissions
Termination does not extinguish commissions validly earned before termination. Such commissions remain subject to the applicable validation periods, ordinary monthly settlement, documented adjustments and applicable law. Commissions generated by fraud do not qualify as validly earned commissions.
Where dashboard access is unavailable, Academic English Hub will provide reasonable alternative access to outstanding settlement information and final-payment instructions through the contact details in Section 19.
14.6. Commissions Following Partnership Termination
Upon termination or expiration of the partnership, the Partner shall cease earning commissions on new referrals.
Commissions shall remain payable on qualifying purchases completed within thirty (30) calendar days following termination, provided that the customer was originally referred during the active partnership period.
All Partner-specific promotional discount codes shall expire on the partnership termination date unless otherwise agreed in writing.
The continued availability of previously published promotional content, including YouTube videos, shall not independently entitle the Partner to additional commissions after the attribution period expires.
All outstanding eligible commissions shall be settled according to the regular monthly payment schedule, subject to the applicable validation period, refunds, chargebacks, and fraud prevention provisions.
15. Program Changes
Academic English Hub may modify, suspend, or discontinue the Program.
Material changes affecting commission rates, payment eligibility, or significant Partner obligations will be communicated in advance, ordinarily with at least 15 days' notice, except where immediate action is legally required or necessary for security.
Commission-rate changes will apply prospectively and will not retroactively reduce commissions already validly earned.
Where a material change requires renewed agreement, the Partner may be asked to accept the updated Terms before continuing participation.
Partners who do not agree to a material change may terminate their participation.
Material changes to commission attribution, percentage, calculation basis, validation periods or payout rules will be communicated as required by this Agreement and applicable law and will apply prospectively. No new published version may retroactively reduce commissions validly earned under an earlier accepted offer. Where a revised Agreement or Individual Partner Offer requires reacceptance, the new terms apply to qualifying activity after the effective acceptance and enabled rollout conditions are met.
16. Warranties and Liability
Academic English Hub will make reasonable efforts to operate the Program and maintain accurate reporting.
However, uninterrupted access to the platform, dashboard, discount-code system, or analytics functionality cannot be guaranteed.
Neither party guarantees a particular number of referrals, customers, sales, commissions, or commercial results.
To the extent permitted by applicable law, neither party will be liable to the other for indirect or consequential commercial losses arising from ordinary technical interruptions or business performance.
Nothing in this Agreement excludes liability that cannot lawfully be excluded, including liability for fraud, intentional misconduct, or mandatory statutory obligations.
17. Governing Law and Disputes
This Agreement is intended to be governed by the laws of the Republic of Türkiye, subject to any overriding mandatory laws applicable to the parties.
The parties will first attempt to resolve disagreements through good-faith written communication.
Where an amicable resolution is unsuccessful, disputes will be submitted to the competent courts and enforcement offices in Istanbul, Türkiye, to the extent such jurisdiction is legally permissible.
18. Entire Agreement
This Agreement, together with the applicable individually accepted Partner Offer and policies expressly incorporated by reference, constitutes the agreement between the parties concerning participation in the Partner Program.
Any amendment to an individually negotiated commercial commitment should be confirmed in writing by both parties.
If any provision is found unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.

This schedule records the specific commercial terms offered to an individual Partner.
Your individual Partner Offer is private and shown during your signed-in review. It includes your commission rate, minimum payout, payment currency and other agreed commercial terms.
